Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of Bridge, including the Bridge mobile application, the bridgedev.io website, and any related products or services we provide (collectively, the "Service"). The Service is operated by Bridge Agentic Solutions LLC, a Virginia limited liability company ("Bridge," "we," "us," or "our").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority where you live, to use the Service. The Service is not intended for or directed at children under 13.

2. What Bridge Is

Bridge is a tool for capturing rough software ideas, classifying and connecting them, and generating implementation-ready planning artifacts (specifications, schemas, plans). The current version is a mobile application for iOS and Android. A command-line plugin extension is planned for a future release.

Bridge orchestrates calls to large language models ("LLMs") provided by third parties — Anthropic, OpenAI, and Google. We do not train or operate our own models. Most AI usage in Bridge runs on an API key you supply and is processed by the provider you choose. As a limited exception, Bridge pays for a small monthly allowance of AI processing on your behalf — see Section 4. See Section 8 for details on how this works.

3. Account Terms

To use most features of the Service, you must create an account. Accounts are authenticated through Google Firebase Authentication using your email address.

• Each account is for a single individual. You may not share, sell, or transfer your account credentials.
• You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us promptly at security@bridgedev.io if you suspect unauthorized access.
• You are responsible for ensuring the information you provide is accurate and current.

4. Subscriptions and Bring Your Own API Key (BYOAPI)

Tiers

Bridge offers four subscription tiers: Free, Discover, Build, and Refine. Current pricing is published at bridgedev.io/pricing. Paid tiers are available monthly or yearly. Yearly subscriptions are charged once per term and renew automatically unless cancelled.

Free monthly AI allowance

Every account — including the Free tier — receives five (5) classify-and-expand runs per calendar month at no charge, paid for by Bridge and processed on Google Vertex AI (Gemini 3.5 Flash) under Bridge's own Google Cloud account. The allowance resets on the first of each calendar month (UTC); unused runs do not roll over.

These free runs are offered on a fair-use basis. They are rate-limited, and we may reduce, suspend, or withdraw them — for an individual account or for all accounts — to prevent abuse, control cost, or protect the Service. The free allowance is a convenience, not a guaranteed service level.

Bring Your Own API Key

Beyond the free monthly allowance, Bridge's AI features run on an API key you supply from a supported provider (Anthropic, OpenAI, or Google), and Bridge does not bill you for the tokens you consume. A supplied key is honored on paid tiers (Discover and above) only — adding a key on the Free tier does not unlock unlimited AI. You are responsible for:

• Maintaining a valid API key with the provider of your choice. If your key is invalid, exhausted, or revoked, the AI features will not function. Your Bridge subscription does not pause or refund automatically as a result.
• All charges your chosen LLM provider bills you for tokens you consume. We are not a party to your relationship with that provider.
• Complying with the terms of service of your chosen LLM provider in your use of the Service.

The Free tier accesses an LLM provider only through the free monthly allowance described above.

Billing and Cancellation

Payment is processed by Stripe, Inc. You authorize us to charge your payment method on file at the start of each subscription term. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current paid period. Except as described in Section 5 or as required by law, paid amounts are non-refundable.

We may add Apple In-App Purchase through RevenueCat as a payment method in the future. If you subscribe via Apple In-App Purchase, Apple's payment terms govern that transaction in addition to these Terms.

Automatic Renewal

Your subscription automatically renews. Unless you cancel before the end of your current billing period, your subscription will automatically renew for the same length term (monthly or yearly) at the then-current price published at bridgedev.io/pricing, and your payment method on file will be charged on the renewal date. By subscribing, you authorize these recurring charges.

How to cancel. You may cancel at any time and for any reason from your account settings in the Bridge app or by emailing support@bridgedev.io. Cancellation stops the next renewal; you keep access through the end of your current paid period. We do not require you to call, write a letter, or take any extra step beyond the in-app cancellation flow.

Renewal notice for annual subscriptions. For yearly subscriptions, we will send you a renewal reminder by email at least fifteen (15) days and no more than forty-five (45) days before the renewal date, in compliance with applicable state automatic-renewal laws (including California's Automatic Renewal Law, Cal. Bus. & Prof. Code § 17600 et seq., and similar laws in New York, Oregon, and other states). The reminder will identify the renewal date, the amount that will be charged, and the steps to cancel.

Material changes to renewal terms. If we increase the renewal price or materially change the renewal terms applicable to your subscription, we will provide at least thirty (30) days' advance notice by email, and the new terms will not take effect until your next renewal. You may cancel during this notice period to avoid the change.

5. Lifetime Access (LTD)

Bridge offers a "Lifetime" purchase option for the Refine tier. This section explains what "Lifetime" means and what we commit to.

What "Lifetime" Means

"Lifetime" refers to the operational lifetime of the Bridge service. It does not mean perpetual access independent of whether the Service exists. If we discontinue the Service, lifetime access ends together with the Service.

At checkout, you will be asked to confirm that you understand this. We require explicit consent at point of sale because we want to be transparent about what the offer is and what it is not.

Our Commitments

If you purchase Lifetime Access to Refine, we commit to:

• Minimum 3-year operating commitment. Bridge Agentic Solutions LLC will operate the Service for at least three (3) years from your Lifetime Access purchase date, unless prevented by circumstances beyond our reasonable control.
• 90-day discontinuation notice. If we decide to discontinue the Service, we will provide at least ninety (90) days' written notice by email before doing so.
• Data export during the notice period. During the 90-day notice period (and at any time during your subscription), you may export your notes, plans, and generated artifacts from the Service.
• Acquisition handling. If Bridge Agentic Solutions LLC is acquired or otherwise transferred, we will work in good faith to ensure continued honoring of Lifetime Access by the acquiring party.

Final Sale

Lifetime Access purchases are final sale and non-refundable, except as required by applicable consumer protection law. The mandatory consent checkbox at checkout reflects this.

6. Your Content and Intellectual Property

You retain all rights to the notes, ideas, prompts, generated outputs, and other content you create, upload, or generate through Bridge (your "User Content"). We claim no ownership of your User Content.

To operate the Service, you grant Bridge a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, process, and display your User Content solely as needed to provide the Service to you. This license terminates when you delete the content or close your account, subject to reasonable backup-retention windows described in our Privacy Policy.

We do not train AI models on your User Content. We do not sell your User Content. We do not use your User Content for advertising.

Bridge Materials. All right, title, and interest in and to the Bridge Service — including the Bridge mobile application, the bridgedev.io website, any future Bridge command-line plugin or extension, the Bridge wordmark and logo, the Bridge brand identity, the Bridge user interface, all source code and object code, all documentation, marketing copy, blog posts, illustrations, designs, layouts, and all other text, graphics, audio, video, and other materials made available by Bridge through the Service or otherwise (collectively, the "Bridge Materials") — are owned by Bridge Agentic Solutions LLC and its licensors. Bridge Materials are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws and treaties.

All rights reserved. All rights in and to the Bridge Materials not expressly granted to you in these Terms are reserved by Bridge Agentic Solutions LLC, in perpetuity and on a worldwide, royalty-free basis. No license, ownership interest, or other right in or to the Bridge Materials is granted to you by implication, estoppel, or otherwise.

Your license to use the Service. Subject to your compliance with these Terms, Bridge grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose. This license does not include any right to copy, modify, distribute, display, sublicense, sell, lease, reverse engineer, or create derivative works of the Bridge Materials, except as expressly permitted by these Terms or applicable law that cannot be waived by agreement.

7. Feedback

We welcome your ideas, suggestions, comments, bug reports, feature requests, and other feedback about the Service (collectively, "Feedback"). To make it easy for us to improve Bridge based on what you tell us, you agree that:

• You grant Bridge Agentic Solutions LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works of, distribute, perform, display, and otherwise exploit your Feedback for any purpose, commercial or otherwise, without restriction or compensation to you.
• You waive any moral rights you may have in your Feedback to the fullest extent permitted by applicable law.
• We are not required to credit you, notify you of how Feedback is used, or compensate you for any use of your Feedback, including any incorporation of your Feedback into the Service or the Bridge Materials.
• You represent that any Feedback you provide is original to you or that you have the right to grant the license above, and that your Feedback does not infringe the rights of any third party.

For the avoidance of doubt, Feedback does not include your User Content (as defined in Section 6), which remains your property under the terms of Section 6.

8. AI Sub-processors

AI processing in Bridge takes one of two paths:

1. Your free monthly allowance (Section 4). The five classify-and-expand runs Bridge pays for each month are processed on Google Vertex AI (Gemini 3.5 Flash) under Bridge's own Google Cloud account, subject to the Google Cloud Terms and Google Cloud Privacy Notice. This covers free runs in the app and notes submitted through the "try it" demo on bridgedev.io.

2. Your own API key. For all other AI usage (note classification, semantic expansion, Build Plan generation, Chat), Bridge sends the content of your notes and prompts to the third-party LLM provider you have selected, using the API key you provided. The provider processes that content and returns a response, which Bridge surfaces in the app.

Apart from the free allowance described above, we do not train or operate our own models. Content sent on your own key is processed by the provider you chose under that provider's terms and privacy policy:

• Anthropic — Commercial Terms and Privacy Policy.
• OpenAI — Business Terms and Privacy Policy.
• Google (Gemini API) — API Terms and Privacy Policy.

We do not control how these providers process your content beyond what we send them. If you have concerns about a specific provider's privacy practices, choose a different provider in your Bridge settings or avoid AI features.

9. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, including export controls, sanctions, and privacy laws.
• Generate, store, or distribute content that is illegal, defamatory, infringing, threatening, harassing, or sexually explicit involving minors.
• Use Bridge or any connected LLM provider to generate weapons-related content, instructions for self-harm, or other content prohibited by the applicable provider's acceptable use policy.
• Attempt to reverse engineer, decompile, or extract the source code of the Service, except to the extent this restriction is prohibited by law.
• Use automated means (bots, scrapers, etc.) to access the Service except where we explicitly permit it through documented APIs.
• Interfere with the operation of the Service, attempt to gain unauthorized access to other accounts, or probe the Service for vulnerabilities other than through coordinated disclosure to security@bridgedev.io.
• Resell or sublicense the Service without our prior written consent.

We may suspend or terminate your account if you violate these rules.

10. Service Availability

We aim to make the Service available continuously but do not promise any specific uptime level at this time. The Service is provided on a best-effort basis and may be unavailable from time to time due to maintenance, updates, issues with third-party providers (including the LLM provider you have chosen), or other circumstances.

For planned maintenance affecting paid users, we will attempt to provide reasonable advance notice via email or in-app notice.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BRIDGE AGENTIC SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AI output disclaimer. The Service generates plans, specifications, schemas, and other content using LLMs. AI-generated content can be inaccurate, incomplete, misleading, or unsafe. You are responsible for reviewing and validating all AI-generated content before relying on it, and for testing any code or technical artifacts before use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BRIDGE AGENTIC SOLUTIONS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID BRIDGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow limitations on certain types of damages or warranties. In those jurisdictions, the above limitations apply only to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bridge Agentic Solutions LLC from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

• Your User Content, including any claim that it infringes intellectual property rights or violates law;
• Your use of the Service in violation of these Terms or applicable law, including violations of an LLM provider's terms in connection with the API key you supplied;
• Any costs or charges levied against you by the LLM provider whose API key you supplied.

13. Termination

You may stop using the Service at any time. To cancel a paid subscription, use the account settings in the app or contact support@bridgedev.io. Cancellation stops future renewals; you will retain access through the end of the current paid period.

We may suspend or terminate your account for violation of these Terms, for non-payment, or where we are required to do so by law. Except in cases of urgent risk or legal compulsion, we will attempt to give you advance notice and an opportunity to cure the violation.

On termination, the licenses you grant us to host and process your User Content terminate, subject to reasonable backup-retention windows. Sections of these Terms that by their nature should survive termination will survive — for example, Sections 6 (intellectual property), 7 (feedback), 11 (disclaimers and limitation of liability), 12 (indemnification), and 14 (governing law).

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Bridge Agentic Solutions LLC is a Virginia limited liability company.

15. Dispute Resolution

Informal resolution first. Before filing any formal claim, you agree to contact us at legal@bridgedev.io with a description of the dispute and a proposed resolution. The parties will negotiate in good faith for at least thirty (30) days before proceeding to formal dispute resolution.

Arbitration. If informal resolution does not resolve the dispute, any claim arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Arlington, Virginia, or by remote hearing. The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may bring an action in small claims court for claims within that court's jurisdiction. Either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

No class actions. Claims may be brought only on an individual basis and not as a plaintiff or class member in any class, consolidated, or representative action.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice by email or in-app notice at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree, stop using the Service before the effective date.
